1. Definitions
- *“WuXi AppTec” refers to WuXi AppTec (Suzhou) Co., Ltd., the operator of this website, and includes any of WuXi AppTec (Suzhou) Co., Ltd.'s affiliated companies that are involved with activities on this website. The term “we” or “us” refers to WuXi AppTec. “Affiliates” means any entity that directly or indirectly controls, is controlled by, or is under common control with a party. “Control” means (1) ownership, directly or indirectly, of 50% or more of the equity interest of an entity, or (2) the right, directly or indirectly, to direct or cause the direction of the management or policies of an entity by contract or otherwise.
- *“StarLIMS” means the StarLIMS system provided by Abbott.
- *“Licensed Data” means any data provided through this website, including data originally generated by WuXi AppTec from the StarLIMS system or data obtained from other sources.
- *“You” means any person who accesses this website over a network using any software application (including a web browser).
2. Grant of License
- *2.1 To access and use this website, you must have a valid account created for you by WuXi AppTec and must be a party to a legally binding agreement with WuXi AppTec (including these Terms of Use) that defines your rights to access and use the Licensed Data.
- * 2.2 Subject to all terms, conditions and restrictions set forth in these Terms of Use, WuXi AppTec hereby grants you, and you accept, a non-exclusive, non-transferable, non-sublicensable right to use the website, the website software and related technical documentation solely to access the Licensed Data in accordance with the terms and conditions of your agreement with WuXi AppTec. In the event of any conflict, these Terms shall govern and take precedence over any inconsistent provisions in your agreement with WuXi AppTec.
- * 2.3 Your user account (including username and password) is the sole means by which WuXi AppTec identifies you and your instructions. You agree to keep your account credentials confidential at all times. All activity that occurs under your account will be deemed to have been performed by you. You must safeguard your account and prevent its disclosure; you bear all risk and liability for any loss or damage resulting from disclosure of your account credentials. In particular, you must not, without WuXi AppTec’s prior written consent, lease, lend, transfer, share your account on the Internet, or otherwise provide access to any other person or software application so as to permit others to access the website, nor may you otherwise provide third parties with access to your account.
- * 2.4 You shall not, and shall not permit any affiliate, agent, consultant or other third party to:
- * 2.4.1 provide the website address to third parties, attack, overload or otherwise abuse the website;
- * 2.4.2 modify, adapt, port, translate, convert, localize or create derivative works of the software or Licensed Data, or any part thereof, or of any confidential information of WuXi AppTec, its affiliates or its licensors or suppliers, including but not limited to creating any computer software application or database for resale or external distribution; provided, however, that you may export Licensed Data to other applications for further analysis;
- * 2.4.3 save, decompile, disassemble, reverse engineer or attempt to reconstruct, identify or discover any source code, structure, sequence or organization of source code, or any underlying user interface technology, algorithms, databases, datasets or data of the software or Licensed Data, in any form, or disclose any of the foregoing;
- * 2.4.4 sell, rent, lease, license, sublicense, copy, reproduce, publish, transmit, lend, publicly display, market or distribute the software, the StarLIMS database or the Licensed Data or any component thereof;
- * 2.4.5 provide training or consulting to third parties regarding the use of the software or Licensed Data, or enter into time-sharing arrangements with third parties for use of the software or Licensed Data;
- * 2.4.6 grant or permit any lien, charge or security interest on any part of the software or Licensed Data, or assume any obligation to do so;
- * 2.4.7 intentionally take any action that would place any part of the software or Licensed Data into the public domain;
- * 2.4.8 use the software other than in accordance with the documentation or written procedures provided by WuXi AppTec;
- * 2.4.9 remove any product identification, trademark, copyright or other proprietary notices contained in the software, portal database or Licensed Data;
- * 2.4.10 merge the software or any part thereof into other software or combine it with other software; or
- * 2.4.11 use WuXi AppTec’s published documentation, software or any confidential information to develop any software or for any purpose not expressly permitted by this agreement.
- * 2.5 You shall not permit any affiliate, agent, consultant or other third party to access the website.
- * 2.6 If you become aware of any unauthorized use of the software or Licensed Data, you shall immediately notify WuXi AppTec in writing.
- * 2.7 Unless expressly provided herein, nothing in these Terms shall be construed as granting any license or otherwise transferring any rights, title or interest in WuXi AppTec’s or its affiliates’ technology or intellectual property.
- * 2.8 By uploading files or data to the website, you grant WuXi AppTec a non-exclusive, perpetual license to: (a) create and distribute copies of such works; and (b) authorize others to create derivative works. You represent and warrant that you own the copyright in any material you upload or that you have been authorized by the copyright owner to grant such license. You are solely responsible for any unauthorized use of copyrighted content that you upload to the website.
3. No Warranty

- * 4.2.4 loss of expected savings;
- * 4.2.5 loss of business;
- * 4.2.6 loss of opportunity;
- * 4.2.7 loss of goodwill;

- * 4.2.9 loss, corruption or damage to data; or
- * 4.2.10 any indirect or consequential loss or damage arising out of or in connection with this agreement.

- *b. where the request cannot be validated or is beyond our control, especially in cases of repeated requests;

- *e. other circumstances as provided by applicable law.
