# Terms and Conditions of Use #
## 1. Definition of Terms ##
- *WuXi AppTec (Suzhou) *: stands for WuXi AppTec (Suzhou) Co., Ltd providing data to this web portal
- *StarLIMS*: stands for StarLIMS system supplied by Abbott company.
- *Licensed Data*: stands for any data served by this Website, either originating from the StarLIMS system licensed by WuXi AppTec (Suzhou) or from other sources
- *You*: the Person accessing this Website through the network using any software application, including a web browser.
## 2. Grant of Licences ##
- *2.1* To access and use this Website you must hold a valid account created for you by WuXi AppTec (Suzhou) , and you must have entered a suitable legally binding contract with WuXi AppTec (Suzhou) that defines your license to access and use the Licensed Data.
- *2.2* Subject to all the terms, conditions and restrictions set forth in this Agreement, WuXi AppTec (Suzhou) hereby grant and you hereby accept, a non-exclusive, non-transferable, right without the right to grant sub-licences, to use this Website and Website Software and associated Technical Documentation to access the Licensed Data according to the terms and conditions of your contract with WuXi AppTec (Suzhou) . Where in conflict, these terms take precedence over the terms of your contract with WuXi AppTec (Suzhou) .
- *2.3* Your user account (including username and password) is the only symbol of your identity and instructions. You agree to keep your user account confidential at all times. All actions that use your user account are considered as your actions. You should properly keep your user account to prevent the leakage of your user account. The loss caused by the leakage of your user account shall be borne by you. In particular, you shall ensure that without the consent of WuXi AppTec (Suzhou) ,you do not rent, transfer, share or other way that could make your user account available to any other person or provide to third parties in other forms in disguised form..
-*2.4* You shall not and shall not allow any Affiliate, Representative, consultant or other third party to:
- *2.4.1* provide the address of this Website to third parties, attack, overload or otherwise misuse this Website;
- *2.4.2* modify, adapt, port, translate, transform, localize, or create derivative works of the Software or Licensed Data, or any portion thereof, or any Confidential Information of WuXi AppTec (Suzhou) , its affiliates or its licensors or vendors, including without limitation the creation of any computer software application or database for resale or external distribution provided that you may export Licensed Data into other applications for further analysis;
- *2.4.3* save, decompile, disassemble, reverse engineer or assemble or attempt to reconstruct, identify or discover any source code, the structure, sequence or organization of source code underlying ideas, or underlying user interface techniques, algorithms, databases, data sets or data of the Software or Licensed Data by any means whatsoever, or disclose any of the foregoing;
- *2.4.4* sell, lease, licence, sub-licence, copy, reproduce, publish, transmit, rent out, publicly display, market or distribute the Software, StarLIMS Database or Licensed Data or any component thereof;
- *2.4.5* provide training or consulting to third parties in the use of the Software or Licensed Data, or enter into time-sharing arrangements for use of the Software or Licensed Data with third parties;
- *2.4.6* encumber or suffer to exist any lien or security interest on any part of the Software or Licensed Data;
- *2.4.7* knowingly take any action that would cause any Software or any part of the Licensed Data to be placed in the public domain;
- *2.4.8* use the Software other than in accordance with the Instruction Documentation or as specified by WuXi AppTec (Suzhou) in writing;
- *2.4.9* remove any product identification, trademark, copyright or other notices contained in or on the Software, Portal Database or Licensed Data;
- *2.4.10* incorporate the Software, or any portion thereof, into or with other software; or
- *2.4.11* use the Instruction Documentation, Software, or any Confidential Information disclosed by WuXi AppTec (Suzhou) to create any software, or for any other purpose not expressly permitted hereunder.
- *2.5* You shall not allow any Affiliate, Representative, consultant or other third party to access this site.
- *2.6* You shall notify WuXi AppTec (Suzhou) in writing immediately you become aware of any unauthorised use of the Software or Licensed Data by any Person.
- *2.7* Save as expressly set out herein, nothing in this Agreement shall be construed as a grant of licence or shall in any way be regarded as conveying any rights in or to any Technologies or Intellectual Property Rights of WuXi AppTec (Suzhou) or its Affiliates.
- *2.8* By uploading documents or data to this Website you grant a non-exclusive perpetual license to WuXi AppTec (Suzhou) to a) create and distribute copies of these works and b) provide the right for others to create derivative works; you also confirm that you own the copyright on the uploaded works or have the rights from the copyright owner to grant such permissions; you also accept sole responsibility for any misappropriate use of copyrighted content uploaded by you on this Website.
## 3. Warranties ##
- *3.1* WuXi AppTec (Suzhou) warrants that, as at the date of this Agreement, it is entitled to allow use of the Website Software and Instruction Documentation and/or, where applicable, access to the Website, pursuant to this Agreement and to grant the rights to the granted to you. In the event that WuXi AppTec (Suzhou) 's entitlement is terminated or varied for any reason beyond WuXi AppTec (Suzhou) 's control then WuXi AppTec (Suzhou) shall be entitled to stop access to and discontinue use of the Website and Website Software and Instruction Documentation.
- *3.2* WuXi AppTec (Suzhou) does not warrant that the Website and downloaded Licensed Data or other downloads are free of viruses or malicious code, and you should take all precautions to protect yourself and your computers from such threats.
- *3.3* WuXi AppTec (Suzhou) cannot and does not guarantee that access to the Website or the Software or the Licensed Data will be uninterrupted or that the Software will operate error-free.
- *3.4* Where applicable, WuXi AppTec (Suzhou) may need to perform scheduled and unscheduled maintenance on the Software from time to time, which may result in interruptions to the your access to the Website.
- *3.5* Subject to the terms of this Agreement, WuXi AppTec (Suzhou) is not liable for any loss, damage, cost or expense arising from the use or inability to use the Website, the Website Software and Licensed Data.
- *3.6* WuXi AppTec (Suzhou) does not undertake that your use of the Website and Licensed Data or Licensed Data will lead to any particular result (e.g. a scientific discovery). It is your responsibility to ensure the Licensed Data is suitable for its intended purpose.
- *3.7* Where applicable, WuXi AppTec (Suzhou) have implemented reasonable security measures regarding access to the Website and Licensed Data, however, WuXi AppTec (Suzhou) is in no way responsible for any unauthorised access to the Website, or any disclosure, loss or corruption of data contained on the Website.
## 4. Liability ##
- *4.1* WuXi AppTec (Suzhou) does not accept any responsibility for any use which may be made by you of any Licensed Data, nor for any reliance which may be placed by you on any Licensed Data, nor for any advice or information given in connection with any Licensed Data.
- *4.2* WuXi AppTec (Suzhou) shall not be liable to you for any of the following losses or damage (whether such losses or damage were foreseen, foreseeable, known or otherwise):
- *4.2.1* loss of revenue;
- *4.2.2* loss of actual or anticipated profits (including for loss of profits on contracts);
- *4.2.3* loss of the use of money;
- *4.2.4* loss of anticipated savings;
- *4.2.5* loss of business;
- *4.2.6* loss of opportunity;
- *4.2.7* loss of goodwill;
- *4.2.8* loss of reputation;
- *4.2.9* loss of, damage to or corruption of data; or
- *4.2.10* any indirect or consequential loss or damage howsoever caused which arises out of or in connection with this Agreement.
- *4.3* WuXi AppTec (Suzhou) shall not be liable for infringement of copyrights of third parties on data uploaded to this Website by its users. The responsibility of appropriately licensing copyrighted content for upload and use on this site rests soley on the users of the Website.
